Trade in value not running?

2002 7.3 psd crew cab. 189,000 miles. Fuel issue, traced mostly to hpop.

My wife is getting a new ride and I was just handed new company vehicle keys and have to let her go. Payoff is $5600 on a 2002. Fair for the dealer to pay it off to take it off my hands or is there a better deal for me? I have no time to mess with my mechanic to get her running before selling.

I appreciate any advice out there. She is a beauty, just put new tires and shocks on right before she died. Just cannot afford a car note on one I don't drive.

Depending on how expensive the fix is.
