4R100 doing some odd things now

Alright to start, I got a late 99 that has a 40k mile old tranny, stock converter.

When ever she's going into lock up, that split second when it's locking up it will make a slight grinding noise that you can fell in the drive line, once its in lock up its drives like normal. Odd thing is if I floor it, it won't make the noise when it locks up. Now ever since this started happening is has not been holding a gear when engine breaking if it's not in o/d. I can have the converter unlocked going 70 in o/d about 1400 rpm with no throttle, if it turn off o/d the rpm fall to idle, nothing happens anytime when I put it in 1st or 2nd. It'll hold the gear if I'm accelerating but won't if I'm trying to use it to help me slow down. I've about had it with the hunk of sh!t 4R100.. Should of got a zf6. Ohh yeah I changed the fluids and filter, nothing noticeable just the normal slight metal on the magnet.
