6.0 tranny not shifting!!

I have a 2003 6.0 f250 4x4 140k runs great its bone stock however it just stopped shifting. It will only shift when i let off of the gas, when it shifts there is an odd sound like the gears engaging. Also it seems like it has no power. What could be a problem??

This is gonna sound stupid but I had exactly the the same problem and just changed out the air and fuel filters (took a 2nd mortgage) and viola! The problem is gone. Was told this by someone at my local Ford shop and was not quite believing them. But, she runs like a new truck.
